COWBOLT TERMS AND CONDITIONS

1. INTRODUCTION

These Terms and Conditions ("Agreement") govern your use of Cowbolt ("Company," "we," "us," or "our"), including its non-custodial cost-splitting features, integrated Bitcoin, Liquid, and Lightning Network wallets for Bitcoin and USDT transactions, and in-app communication functionalities (collectively, the "Services").

By creating an account, downloading, accessing, or using Cowbolt, you confirm that you have read, understood, and agree to comply with this Agreement. If you do not agree to these terms, you must not use Cowbolt.

These Terms apply to both the Cowbolt mobile application ("App") and the Cowbolt website ("Website"). Continued use of the Services constitutes acceptance of any updates or modifications to these Terms, which may be made at any time at our discretion.

2. ACCEPTABLE USE & USER RESPONSIBILITIES

2.1 User Conduct

By using Cowbolt, you agree that you will:

  • Use the Services only for lawful purposes and in accordance with this Agreement.
  • Be solely responsible for securing your seed phrase, private keys, and account credentials.
  • Assume all risks related to market volatility, transaction errors, and the security of your digital assets.
  • Acknowledge that Cowbolt provides no guarantees, warranties, or assurances regarding the continued availability or reliability of the Services.

2.2 Prohibited Activities

You may not:

  • Use Cowbolt for any fraudulent, unlawful, or prohibited activity, including money laundering, terrorist financing, or tax evasion.
  • Attempt to gain unauthorized access to any part of Cowbolt's system.
  • Use Cowbolt to distribute malware, phishing attacks, or any form of cyber threat.
  • Make any claims, legal or otherwise, against Cowbolt, its owners, founders, employees, or affiliates in connection with your use of the Services.

3. NON-CUSTODIAL SERVICES & FINANCIAL DISCLAIMERS

3.1 Non-Custodial Nature

Cowbolt is a non-custodial signing device that enables users to manage Bitcoin and USDT. We never hold, access, or control any funds, private keys, or seed phrases.

3.2 User Financial Responsibility

  • You alone are responsible for your digital assets and transactions. Cowbolt has no access to your funds and cannot reverse, modify, or cancel transactions.
  • No Recovery Assistance: If you lose your seed phrase, Cowbolt cannot help you recover your funds.
  • Market Risks: Cowbolt is not responsible for market volatility, financial losses, or any decrease in the value of digital assets.

3.3 No Liability for Losses

Cowbolt shall not be liable for:

  • Any loss of funds due to user negligence, security breaches, or unauthorized access.
  • Errors in transactions, failed transfers, or misdirected payments.
  • Fluctuations in cryptocurrency value.
  • Any losses or damages, including but not limited to lost profits, consequential, indirect, incidental, punitive, or special damages, arising from use of the Services.

By using Cowbolt, you acknowledge that you assume all financial risks associated with digital assets.

4. ACCOUNT REGISTRATION & TERMINATION

4.1 Account Creation

To access the Services, you must create an account and provide accurate and complete information. You are responsible for maintaining the security of your account credentials.

4.2 Termination Rights

Cowbolt reserves the absolute and unilateral right to suspend, restrict, or terminate any account at its sole discretion, without prior notice.

  • Engagement in fraud, abuse, or illegal activities using the platform.
  • Violation of this Agreement or any applicable laws.
  • Any attempt to interfere with the integrity, security, or availability of Cowbolt.
  • Any activity that Cowbolt deems harmful to its interests, reputation, or business model.

Cowbolt shall bear no liability for any damages or losses resulting from account termination.

5. COMMUNICATION & USER-GENERATED CONTENT

5.1 Chat Functionality

Cowbolt provides a chat function to facilitate communication between users. All messages are the sole responsibility of the users who create them.

5.2 No Moderation or Oversight

  • Cowbolt does not monitor, filter, or moderate user-generated content, including offensive, defamatory, racist, or illegal speech.
  • Messages do not represent the views of Cowbolt and are not endorsed by the Company.

5.3 Indemnification for User-Generated Content

You agree to fully indemnify, defend, and hold harmless Cowbolt and its owners, founders, officers, directors, employees, agents, and affiliates from any claims arising from:

  • Content you create, transmit, or receive via chat.
  • Disputes or legal actions between you and other users.
  • Any harm caused by misinformation, defamatory statements, or illegal communications within the chat feature.

Cowbolt assumes no responsibility for the conduct of Users or content shared via the chat function.

6. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

6.1 No Warranties

Cowbolt provides the Services on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.2 Limitation of Liability

To the maximum extent permitted by law, Cowbolt, its owners, founders, employees, directors, affiliates, and agents shall not be liable for any direct, indirect, incidental, punitive, special, or consequential damages resulting from:

  • The use or inability to use the Services.
  • Security breaches, unauthorized access, or hacking.
  • Errors, interruptions, or delays in operation.
  • Any failure of third-party services, including Apple, Google, AWS, or other cloud providers.

6.3 Third-Party Services Disclaimer

Cowbolt utilizes third-party services, including Apple, Google, AWS, and other cloud infrastructure providers. Cowbolt does not control, audit, or guarantee the security, encryption, or data protection mechanisms employed by these third parties. Users acknowledge that any vulnerabilities, breaches, or failures in third-party systems are outside of Cowbolt’s responsibility, and Cowbolt bears no liability for any resulting loss, exposure, or compromise of data.

7. GOVERNING LAW & DISPUTE RESOLUTION

7.1 Governing Law

This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict of law principles.

7.2 Venue for Disputes

All disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Orlando, Florida. The parties expressly waive any objections to personal jurisdiction and venue in such courts.

8. ENTIRE AGREEMENT

This Agreement constitutes the final, complete, and exclusive agreement between the parties, superseding all prior agreements and discussions. By using Cowbolt, you acknowledge and accept these Terms.
